General Terms & Conditions



File Delivery:

Your review will be provided via a video and screen capture with me walking you through the recommendations. You are responsible for having the correct streaming software to view the video link.


Copyright:

Upon completion and payment, you hold the copyright to your files. I retain the right to show screenshares in my portfolio as a client sample and evidence of my work. I may also request 'after' images which you can optionally provide.



LBM is a team:

I may collaborate with a qualified assistant on any design and brand projects. Wonder Space functions as a team.



Feedback:

Please be open and honest about what you like and any requests on your form. My goal is to make suggestions true to your vision.

There will always be multiple ways to get a great result. That said, I will do my best to make everything as beautiful and close to perfect as I can. It can be tempting to ask for feedback from friends and loved ones along the way. Should you choose to do so, please remember that the person whose feedback is most relevant is your cherished/ideal client. No brand can appeal to everyone, nor should it.



Payment:

This is pre-pay product. You will be invoiced at the time of booking. All payments are non-refundable.


Liability Waiver:

Design, Branding, Communications and Social Media involve public-facing activity, and therefore, although highly unlikely, can lead to unpredictable, unforeseen, and uncontrollable outcomes that may harm your business. You agree to indemnify and hold harmless Lisa Borin Miller , Wonder Space Creative Studio or any employees, associates, or subcontractors against all claims, losses, expenses, and liabilities of every kind including reasonable attorney's fees arising out of the inaccuracy or breach of any provision of this Agreement, or harm resulting from any work carried out under this contract or any other work done on behalf of you or your company. You agree to take full responsibility for any work we do on your behalf, so please take an active role in choosing which suggestions to implement. Please refer to the full liability waiver in Appendix B.



Jurisdiction:

This Agreement shall be governed in accordance with the laws of Alberta, Canada, and constitutes the entire agreement of the parties. It may be amended only in writing and supersedes all other verbal or prior agreements.

Waiver of Liability Terms



I understand that Lisa Borin Miller Design (LBM) and Wonder Space Creative Studio (WSCS) make no guarantee of any business or monetary returns as a result of branding work.

I accept that LBM/WSCS may make recommendations during consulting about possible outcomes as a result of brand activities, but that ultimately, I am responsible for the direction of my business and all related outcomes.

I understand that I am responsible for proofing work, asking for modifications in writing for branding work, and ensuring that the design and communications of LBM/WSCS are ultimately based on my own direction and expression of values.

I understand that social media is a divisive medium and that activity of social media may open my business to criticism or negative feedback. I understand that this is the nature of social media and release LBM/WSCS from any expectation that all feedback will be positive or from any damages related to social media that may result.

I understand that LBM/WSCS design is not a professional certified in my industry and that it is my responsibility to direct LBM/WSCS to relevant research channels, offer my own professional expertise in my field, and to ensure the accuracy of any written material.

I acknowledge that LBM/WSCS may have access to confidential information including trade secrets, passwords, or other confidential information, and does not share this information with anyone outside of LBM/WSCS, however, there is always a risk of data breech when operating online. I agree to release LBM/WSCS for any responsibility related to file loss, exposure of confidential information, or damages as a result of data breech or technology failure.

Should death or severe injury happen to LBM/WSCS I release the right to be compensated for lost work, resources and am responsible for having copies of my own design files and requesting any files I may be missing on an ongoing basis.

I agree to release LBM Design/ WSCS from any and all claims for damages arising from any loss, exposure, damage to reputation, and damage of any kind resulting from work and consulting with LBM/WSCS.

In case there is a dispute, I agree to have the dispute resolved by a third party whose decision is final.
